Adpool Host Terms
Effective April 27, 2026
1. Introduction
These Terms govern the use of Adpool by organizations acting as Hosts. By activating your account or using the platform, you accept these Terms together with the Adpool Privacy Policy.
Adpool is operated by Mulet Productions LLC (Albuquerque, NM, USA).
2. Definitions
- Platform. The Adpool software accessible at
app.adpoolsystem.com. - Host. The organization that uses the Platform to manage its campaigns and distribute leads to its authorized users.
- Member. A user authorized by the Host to receive leads from the pool.
- Pool. The set of Members associated with a Host's campaigns.
- Lead. A contact record generated by the Host's campaigns and processed on the Platform.
- Multiplier. A numerical value assigned to a Member at the time of access that weighs how often the Member receives leads within the pool.
3. Access to the Platform
Access to Adpool as a Host is granted by invitation. Each account is tied to the email address listed on the invitation. You are responsible for maintaining the confidentiality of your credentials and for activity carried out under your account.
Notify us at privacy@adpoolsystem.com of any unauthorized use.
4. Use of the Platform
As a Host you may:
- Create and manage pools
- Configure base price, multipliers, dates, and pool communications
- Invite and manage Members
- Connect your GoHighLevel sub-account or other third-party services we offer
- Access the history of leads, distributions, and operational metrics
You agree to use the Platform in compliance with applicable law, including data protection, consumer protection, and advertising laws of your jurisdiction and that of your contacts.
Member roster. You are solely responsible for determining who is part of your organization on Adpool. This includes deciding whom to invite to the pool, admitting new requests, suspending or removing Members at any time pursuant to your own published terms, and complying with applicable labor, consumer protection, and anti-discrimination laws governing your admission decisions. Adpool does not participate in or mediate these decisions, except as required to operate the Platform or to comply with legal obligations.
5. Subscription and Payments to Adpool
Adpool subscriptions are charged through Stripe under the agreed-upon billing cycle (monthly or annual) and renew automatically. You may cancel renewal at any time from your panel; cancellation takes effect at the end of the billed period.
Adpool does not provide prorated refunds for partial unused periods, except as required by law.
Applicable taxes (VAT, sales tax, withholdings) are the Host's responsibility under their jurisdiction.
6. Payments Between Host and Members
Payments received by the Host from its Members are processed through the payment provider configured by the Host (Stripe, PayPal, bank transfer, or other). Adpool does not process, hold, or mediate these payments.
The Host is responsible for:
- Maintaining a legitimate and operational payment provider
- Publishing and keeping a refund policy visible to Members
- Issuing tax receipts in accordance with the Host's jurisdiction
- Complying with applicable consumer protection obligations
Adpool may require the Host to provide basic operational documentation (such as a public refund policy) as a condition for activating pools.
7. Data and Leads
Leads processed through the Platform are information that the Host collects, organizes, and manages. The Host acts as the controller of that data, and Adpool acts as a processor on behalf of the Host.
A Member's access to pool leads is a limited license, valid while the Member remains active in the pool. Upon termination of access, the Member may not retain copies or use the leads for other purposes.
Upon the Host's request, we will export or delete lead data under the Host's control within a reasonable timeframe, subject to legal retention obligations.
8. Third-Party Services
Adpool may integrate with third-party services (e.g., GoHighLevel, Stripe, Resend, Supabase, Vercel). Each has its own terms and policies that the Host must review and accept separately.
Adpool is not responsible for interruptions, changes, or policies of these third parties, nor for consequences resulting from them.
9. Multiplier and Distribution
A Member's multiplier is calculated at the time of access using the formula multiplier = round(amount paid / pool base price). The multiplier is fixed at that moment and is not modified during the pool's lifecycle. To increase it, the Member must wait for the next pool.
Lead distribution follows a multiplier-weighted rotation algorithm. Adpool does not guarantee a minimum lead volume, nor the quality, purchase intent, or conversion of leads. The multiplier reflects a statistical expectation of proportion within the pool.
10. Acceptable Use
As a condition of using the Platform, you agree not to:
- Use Adpool for fraudulent, illegal, or rights-infringing activity
- Capture leads without the data subject's informed consent where required by law
- Operate campaigns that breach the policies of the advertising platforms you use
- Share credentials with unauthorized third parties
- Engage in reverse engineering, mass scraping, or exploit attempts against the Platform
- Distribute content that infringes intellectual property rights
11. Suspension and Termination
You may stop using Adpool at any time by notice to privacy@adpoolsystem.com or from your panel. In such case:
- We will notify Members of the pool with at least 14 days' advance notice
- We will provide data exports in standard format
- We will stop capturing new leads after the notice period
Adpool may suspend or terminate your account without prior notice in cases of material breach of these Terms, non-payment for more than 30 days, or requirement of a competent authority.
Adpool is not responsible for refunds to Members arising from the Host's exit. Payments made by Members are governed by the Host's published terms.
12. Confidentiality
Each party agrees to treat as confidential any non-public information exchanged in the use of the Platform, except where law requires disclosure. This obligation survives termination.
13. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Adpool disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Adpool does not warrant that the Platform will be error-free or uninterrupted, or that it will produce specific outcomes.
14. Limitation of Liability
To the maximum extent permitted by law, Adpool's total liability for any claim relating to these Terms shall not exceed the amount paid by the Host to Adpool during the twelve months preceding the event giving rise to the claim.
Adpool shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or reputation, even if advised of the possibility of such damages.
15. Indemnification
The Host agrees to indemnify and hold harmless Adpool, its officers, employees, and affiliates from claims, damages, and reasonable expenses (including legal fees) arising from:
- Use of the Platform in violation of these Terms
- Breach of data protection or consumer protection laws
- Member claims arising from the Host's non-compliance
- Host content or campaigns that infringe third-party rights
16. Notice of Issues
The Host agrees to provide written notice of any alleged failure, breach, or harm within 30 days of becoming aware of it, and to take reasonable steps to mitigate it. Failure to provide timely notice may release Adpool from liability for avoidable damages.
17. Modifications
Adpool may update these Terms. We will notify material changes via email at least 14 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the updated version.
18. Assignment
The Host may not assign these Terms without our prior consent. Adpool may assign them in cases of merger, acquisition, or asset sale, with notice to the Host.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-laws principles. Any controversy shall be resolved in the courts of competent jurisdiction in New Mexico. Adpool may seek injunctive relief in any court of competent jurisdiction.
By using the Platform from outside the United States, the Host consents to the transfer and processing of its information in the United States.
20. General Provisions
- Severability. If a provision is found invalid, the remaining provisions remain in force.
- No waiver. Failure to exercise a right does not constitute waiver.
- Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between the parties.
- Language. The Spanish version is the controlling version; this English version is provided for reference only.
