Adpool Member Terms
Effective April 27, 2026
1. Introduction
These Terms govern your use of Adpool as a Member of a pool. By joining a pool or using the Platform, you accept these Terms together with the Adpool Privacy Policy.
Adpool is operated by Mulet Productions LLC (Albuquerque, NM, USA).
2. Definitions
- Platform. The Adpool software accessible at
app.adpoolsystem.com. - Host. The organization that administers the pool you belong to.
- Member. You, the user authorized by the Host to receive pool leads.
- Pool. The set of Members associated with the Host's campaigns.
- Lead. A contact record generated by the Host's campaigns and assigned through the Platform.
- Multiplier. A numerical value that weighs how often you receive leads within the pool.
3. Your Relationship with Adpool and the Host
Adpool grants you a limited, non-exclusive, non-transferable license to access the Member portal, receive leads assigned to you within the pool, and use the Platform features enabled by the Host.
Member access on Adpool requires belonging to an organization (Host). There is no individual Member access on Adpool outside of an organization.
Your access to the pool depends on the Host's authorization. The Host may admit, suspend, or remove Members in accordance with their own terms. Adpool executes the Host's decisions but does not dictate or review them.
Your economic relationship (access fee, refunds, commercial guarantees, tax receipts) is directly with the Host and is governed by the Host's published terms. Adpool does not process direct payments between you and the Host, and does not mediate commercial disputes between the parties.
As part of the lead assignment process, your name and contact phone will be communicated to the lead assigned to you, so the lead can identify you as their point of contact. By accepting these Terms, you consent to this disclosure.
4. Access to the Platform
When you join a pool, the Host grants you access to the Member portal. You are responsible for the confidentiality of your credentials and for activity carried out under your account.
Notify us at privacy@adpoolsystem.com of any unauthorized use.
5. Multiplier and Lead Distribution
Your multiplier is calculated at the time of access using the formula multiplier = round(amount paid / pool base price). Once set, the multiplier is not modified during the pool's lifecycle. To obtain a higher multiplier, you must wait for the next pool.
Lead distribution follows a weighted rotation algorithm. The multiplier reflects a statistical expectation of proportion within the pool, not a guarantee of minimum quantity.
Adpool does not guarantee a minimum lead volume, nor the quality, purchase intent, or conversion of leads. Lead generation depends on the Host's campaigns, budget, advertising platforms, and other factors outside Adpool's control.
6. Acceptable Use
As a Member, you agree to use the Platform and the leads assigned to you in a professional manner and in compliance with applicable law. In particular:
- Leads assigned to you are intended for the commercial purpose of the pool you belong to.
- You shall not share your access credentials with third parties.
- You shall not transfer, resell, or provide leads to persons outside the pool.
- You shall not use leads to build your own databases by replicating the information received.
- You shall not access leads not assigned to you or attempt to manipulate the distribution system.
- You shall not contact leads assigned to other Members of the pool.
- You shall not engage in practices that harm the reputation of the pool or the Host (sending spam, calls outside permitted hours, deceptive practices).
- You shall not engage in reverse engineering, scraping, or exploit attempts against the Platform.
Failure to comply with these obligations may result in immediate suspension or termination of access, without prejudice to other legal actions.
7. Data and Leads
Leads you receive are managed by the Host as the controller of the data. Adpool acts as a processor. Your access to those leads is a limited license valid while you are an active Member of the pool.
Upon termination of access to the pool, you agree not to use, retain, or share previously received leads. Your account and associated data may be retained for audit purposes in accordance with the Privacy Policy.
8. Termination of Access
Your access to the Platform may end when:
- The Host removes you from the pool for any cause permitted by their terms
- You voluntarily leave the pool
- Adpool revokes your access for violation of these Terms
- The Host closes the pool or stops using the Platform
- You fail to make payments owed to the Host (if a recurring billing model applies)
9. Refunds and Commercial Disputes
Any claim regarding refunds, service quality, commercial disputes, or tax receipts must be addressed directly to the Host, in accordance with the terms the Host has published.
Adpool is not a party to the Host ↔ Member economic agreement, does not process direct payments between the parties, and does not mediate commercial disputes between them.
10. Third-Party Services
The Platform may integrate with third-party services (e.g., GoHighLevel, Stripe). Each has its own terms and policies. Adpool is not responsible for interruptions, changes, or policies of these third parties.
11. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Adpool disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Adpool does not warrant commercial outcomes, revenue, or conversions resulting from leads received.
12. Limitation of Liability
To the maximum extent permitted by law, Adpool's total liability to the Member for any claim relating to these Terms shall not exceed one hundred United States dollars (USD $100), considering that the Member does not make direct payments to Adpool.
Adpool shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or reputation.
Commercial disputes between the Member and the Host are the parties' responsibility and do not involve Adpool.
13. Modifications
Adpool may update these Terms. We will notify material changes via email at least 14 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the updated version.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Mexico, United States. Any controversy shall be resolved in the courts of competent jurisdiction in New Mexico. Adpool may seek injunctive relief in any court of competent jurisdiction.
By using the Platform from outside the United States, the Member consents to the transfer and processing of their information in the United States.
15. General Provisions
- Severability. If a provision is found invalid, the remaining provisions remain in force.
- No waiver. Failure to exercise a right does not constitute waiver.
- Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between Adpool and the Member regarding the use of the Platform.
- Language. The Spanish version is the controlling version; this English version is provided for reference only.
